How decisions are made
The company is run by a board of directors (constitution, Part 6). Each director must act honestly and in good faith, with care, skill and diligence, avoid conflicts of interest and support transparency and accountability (clause 36). The board meets as often as required, in person or online; the quorum is two directors or one third of directors in office, whichever is greater (clauses 38-40). A written resolution signed by all directors is as valid as a board decision (clause 41).
The members exercise overall oversight through general meetings, including the annual general meeting, which considers reports, the financial statements and the appointment of directors (clauses 13-15).
Financial control
All funds are held in accounts in the company's name (clause 57). The board sets financial controls, authorisation and expenditure approval procedures (clause 58), books of account are kept and annual financial statements are prepared (clauses 59-60). Income is used only for the company's objects. Our child safeguarding and complaints procedures are published separately: see Child safeguarding and Complaints.
Status of documents
Constitution: signed, available through the Companies Registration Office. The policies on this site (child safeguarding, photo and video, privacy) are working versions awaiting a solicitor's check; see Transparency.
Honest about results
We do not describe a plan as a result: every project on Projects shows its real stage.
